This deal involved the sale of a SaaS that offers cloud-based software solutions (mainly royalty fee calculations) for small US broadband and TV communications service providers. After an intensive process of LOI negotiations (over 15 offers), a specialized SaaS financial sponsor had the winning bid, with the total valuation exceeding the seller’s expectations by 20%. One of the challenges in the deal was attributed to the significant partner concentration, the company’s cable operators’ customers, and their associated risk of the declining underlying industry.
